ANTI-BRIBERY POLICY

SATISFACTION

It is Filtervac International Inc. policy to comply with all applicable anti-bribery laws, including the U.S. Foreign Corrupt Practices Act and all applicable local laws where Filtervac International Inc. operates, and to accurately reflect all transactions on Filtervac International Inc.'s books and records.

It is also Filtervac International Inc.'s policy to require those agents, consultants and business partners who work on Filtervac International Inc.'s behalf before Government Officials to comply with these same laws and practices.

WHAT IT MEANS

Filtervac International Inc. requires that:

  • Its employees not engage in acts or omissions that offer, authorize or give a bribe to a Government Official, or create the impression that a bribe has been offered, authorized or given.
  • Its employees take affirmative steps to prevent those doing business directly or indirectly before a Government Official on Filtervac International Inc.'s behalf from engaging in bribery
  • Its employees adhere to Filtervac International Inc.'s mandatory due diligence, internal approval, financial reporting, and document retention requirements in the six key areas listed below
  • Its employees scrutinize activities of certain acquisition targets and joint venture partners to identify and address potential bribery issues
  • Its employees promptly report to Filtervac International Inc. any suspected violations by Filtervac International Inc. employees or others doing business before a Government Official on Filtervac International Inc.'s behalf.
  • Its auditing function audit Filtervac International Inc.'s businesses as appropriate for potential bribery activities and risks

SIX KEY AREAS

In addition to those obligations set forth above, Filtervac International Inc. requires specific due diligence, internal legal and business approvals, financial reporting, and document retention requirements in six key areas:

  1. Filtervac International Inc. sponsorship of any travel-related benefits for any Government Official
  2. Gifts to, entertainment for, or charitable contributions on behalf of any Government Official
  3. Use of consultants and sales agents who may interact with Government Officials on Filtervac International Inc.'s behalf
  4. Facilitating or "grease" payments to any Government Official
  5. Activities with certain business partners who may interact with Government Officials directly or indirectly on Filtervac International Inc.'s behalf
  6. Political contributions to any Government Official, political party, candidate or political organization.

WHAT TO AVOID

  • The direct or indirect provision of cash or anything of value to a Government Official to obtain an unfair business advantage or to obtain or retain business.
  • Authorizing or providing travel benefits, gifts, entertainment, or political contributions for the benefit of a Government Official without the required due diligence assessment and internal Filtervac International Inc. business and legal approvals.
  • Entering into a consultant or sales agent agreement that will result in contacts with Government Officials without conducting due diligence, obtaining the required internal business and legal approvals, retaining all due diligence for eight years, and accurately recording on Filtervac International Inc.'s book and records all related payments.
  • Making any "grease" or facilitating payments without obtaining the required Filtervac International Inc. internal business and legal approvals.
  • Making any incomplete, false or inaccurate entries on Filtervac International Inc.'s books and records

ANTI-HARASSMENT

OUR COMMITMENT

At Filtervac, we are committed to providing a safe and respectful work environment for all staff and customers. No one, manager, an employee or a contractor has to put up with harassment at Filtervac, for any reason, at any time. And no one has the right to harass anyone else, at work or in any situation related to employment. This policy is one step toward ensuring that our workplace is a comfortable place for all of us.

HARASSMENT IS AGAINST THE LAW

The Canadian Human Rights Act and the Canada Labour Code protect us from harassment. The Criminal Code protects us from physical and sexual assault. You have a right to live and work without being harassed, and if you are harassed, you can do something about it and that is to bring it to your immediate supervisor attention without any delay.

EMPLOYEES’ RESPONSIBILITIES

All employees have the responsibility to treat each other with respect, and to speak up if they or someone else is being harassed. All employees have a responsibility to report harassment to the appropriate person. All employees are responsible for respecting the confidentiality of anyone involved in a harassment complaint. Each manager and supervisor is responsible for fostering a safe working environment, free of harassment. Managers must set an example for appropriate workplace behavior, and must deal with situations of harassment immediately upon becoming aware of them, whether or not there has been a complaint. Courts may impose penalties on the employer and the manager, even if neither of them was actually involved in or aware of the harassment, but should have known about it. A manager that didn’t do anything to prevent harassment or to mitigate its effects may find her or himself facing financial and legal consequences.

FILTERVAC RESPONSIBILITIES

As an employer, Filtervac executive team also has a responsibility to be aware of what is happening in the workplace. Filtervac’s management team hereby promises to treat all incidents of harassment seriously and undertake to act on all complaints and to ensure that they are resolved quickly, confidentially, and fairly. Filtervac Management team will discipline anyone who has harassed a person or group of people or who retaliates in any way against anyone who has complained of harassment, given evidence in harassment investigations, or been found guilty of harassment. We will discipline managers who do not act properly to end harassment. At Filtervac, we will not put up with harassment in any form.

HEALTH AND SAFETY POLICY

Management of Filtervac International Inc. is vitally interested in the health and safety of its employees. Protection of employees from injury and occupational disease is a major continuing objective.

Filtervac will make every effort to provide a safe, healthy work environment. All supervisors and team members must be dedicated to the continuing objective of reducing risk of injury.

Supervisors will be held accountable for the health and safety of all team members under their supervision. Supervisors are responsible to ensure that machinery and equipment are safe and that employees work in compliance with established safe work practices and procedures.

All employees must receive adequate training in their specific work tasks to protect their health and safety. Every team member must protect his or her own health and safety by working in compliance with the law and with safe work practices and procedures established by the company. It is in the best interest of all parties to consider health and safety in every activity. Commitment to health and safety must form an integral part of this organization at any level.
